1. Your agreement
These terms govern access to and use of the Memorabilia Management website, operations portal and connected apps (together, the service).
- You must use the service for business or professional purposes.
- By creating an account, accepting access to a workspace, connecting a store or using the service, you agree to these terms.
- If you act for a company or another organisation, you confirm that you have authority to accept these terms for it.
If we sign a separate order form or service agreement with your business, that document takes priority where it clearly conflicts with these terms.
2. The service
The service helps businesses organise memorabilia operations. Depending on your configuration and permissions, this can include:
- recording stock, product images, assembled products, receipts and operational notes;
- managing product status, availability, orders and fulfilment information;
- publishing and synchronising products and inventory with connected commerce platforms; and
- monitoring connection, webhook and synchronisation health.
The service is an operations tool. It is not a marketplace, payment processor, carrier, accountant, tax adviser or legal adviser.
3. Accounts and workspaces
- Provide accurate account and business information and keep it current.
- Keep login details private and use reasonable security for every device that can access the service.
- Do not share an individual login. Each person should use the access issued to them.
- Your business is responsible for people it permits to use its workspace and for their actions.
- Tell us promptly through support if an account may be compromised or used without permission.
- Do not try to view, change or export another business's workspace or data.
4. Shopify and connected services
Only connect a Shopify store or other third-party account that you own or are authorised to manage. Installing or connecting an app authorises the service to read or change information within the permissions shown during setup.
- Review product, inventory and publication actions before you submit them. If separately approved protected-data features are enabled, also review any order or fulfilment action. An action in the portal can change data in the connected service.
- You remain the merchant and seller of record. You are responsible for your products, listings, prices, stock, taxes, customer service, refunds, returns, fulfilment and legal disclosures.
- Connected services have their own terms, charges, permissions and availability. Their changes or outages can affect features in Memorabilia Management.
- You can revoke a connection through the relevant provider and can ask us for help disconnecting it.
5. Your content and data
You keep your rights in the information, images and other material you place in the service (your content). You give us a limited, non-exclusive permission to host, copy, process and transmit your content only as needed to operate, secure and support the service and its connected features.
- You are responsible for the accuracy and legality of your content.
- You must have the rights and permissions needed to upload and use it.
- If your workspace contains customer or staff information, your business is responsible for giving required notices and having a lawful reason to use that information.
- Do not upload material that is unlawful, misleading, harmful or infringes another person's rights.

6. Acceptable use
Do not use the service to:
- break the law, commit fraud, mislead customers or infringe intellectual property rights;
- upload malware or harmful code, or interfere with the service or another user;
- probe, bypass or defeat security, permissions, rate limits or tenant separation;
- scrape, reverse engineer or copy the service except where the law does not allow that restriction;
- send spam or use customer information for a purpose the customer has not been told about;
- resell access, share credentials outside your business or allow unauthorised people to use it; or
- place an unreasonable load on the service or a connected provider.
7. Availability and changes
We aim to keep the service reliable, but it can be interrupted by maintenance, faults, security work or a connected provider. Unless a separate written service level applies, we do not promise that every feature will always be available or error-free.
- We may fix, improve, replace or remove features as the service develops.
- We will try to give reasonable notice of a change that materially reduces the core service.
- Urgent security, legal or third-party platform changes may need to take effect immediately.
- Keep independent business records or backups where losing access would materially affect you.
8. Charges
The current Shopify App Store release is free to install and use. Shopify Billing is not implemented, so installing the app does not create an app charge.
If paid access is introduced, the Shopify App Store listing and these terms will be updated before charges apply. Any price, billing cycle, renewal and cancellation rules will be shown before purchase.
You are responsible for charges imposed separately by Shopify, eBay or another service you choose to connect.
9. Intellectual property
We and our licensors keep all rights in the service, including its software, design and documentation. These terms give you a limited, non-exclusive and non-transferable right to use the service for your internal business operations while your access remains active.
They do not transfer ownership of our service to you or ownership of your content to us. Shopify and other third-party names, services and materials belong to their respective owners.
10. Confidentiality
Each side may receive business, technical or commercial information that is confidential by its nature or is clearly marked as confidential. Each side will:
- use it only to provide, receive, secure or support the service;
- protect it with reasonable care; and
- share it only with people and service providers who need it and must keep it confidential.
This does not cover information that is already public without a breach, was lawfully known already, is independently developed, or must be disclosed by law. Where legally allowed, the receiving side will give notice before a required disclosure.
11. Suspension and ending access
You may stop using the service and uninstall a connected app at any time. Uninstalling the Shopify app stops future authorised API access but does not automatically close your Memorabilia Management workspace.
We may restrict or suspend access where reasonably necessary to:
- respond to a security incident or protect users, data or connected platforms;
- prevent illegal, fraudulent or harmful use;
- comply with law or a requirement from a connected provider; or
- address a material breach of these terms that is not corrected after reasonable notice.
We will explain a suspension and restore access when the reason has been resolved where it is lawful and practical to do so. Before closing a workspace, contact support if you need help obtaining a copy of available business data. Retention and deletion are handled as described in the Privacy Policy.
12. Responsibility when things go wrong
Each side is responsible for loss it causes through its breach of these terms or negligence. Because this is a business operations tool, you remain responsible for reviewing decisions and actions taken through the service and for maintaining appropriate business records.
Neither side is responsible for loss caused by:
- the other side's data, instructions, unauthorised use or failure to follow these terms;
- a third-party service or platform outside its reasonable control; or
- events it could not reasonably prevent or overcome.
To the extent the law permits for a business contract, neither side is responsible for indirect or consequential loss, or for loss of profit, revenue, business, opportunity, goodwill or anticipated savings. Nothing in these terms limits responsibility where the law does not allow it, including for fraud or for death or personal injury caused by negligence.
13. Changes to these terms
We may update these terms to reflect changes to the service, law, security needs or connected platform rules. We will post the revised terms here and update the date above.
We will give reasonable notice before a material change takes effect where practical. An urgent legal or security change may apply sooner. Changes do not remove rights or obligations that arose before the change. If you do not accept an updated term, stop using the affected service and contact support to close your access.
14. General terms
- These terms do not create a partnership, employment relationship or agency between us.
- If a court cannot enforce one part, the remaining parts continue to apply.
- A delay in enforcing a right does not waive that right.
- No person other than the parties to these terms has a right to enforce them.
